These Terms and Conditions (“Terms”) govern your use of the Skinnyfish Creative, LLC website located at www.skinnyfishcreative.com (the “Site”) and any orders placed or services purchased through the Site. By accessing or using the Site and/or placing an order, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, please do not use the Site or place an order.

1. CHANGES TO TERMS

Skinnyfish Creative LLC may revise these Terms at any time by posting an updated version on the Site. Your continued use of the Site or receipt of products or services following any changes constitutes your acceptance of the revised Terms.

2. ELIGIBILITY & ACCOUNT REGISTRATION

  • You must be at least 18 years old to create an account or place an order.
  • When you register, you agree to provide accurate, current, and complete information, and to keep it updated.
  • You are responsible for safeguarding your username and password, and for any activity conducted through your account. Notify us immediately of any unauthorized use.

4. ORDERING & PAYMENT

  • Payment Terms: By submitting an order, you authorize us (or our third-party payment processor) to charge your chosen payment method. You represent that you have the legal right to use the payment method.

  • Digital & Personalized Products: All personalized and made-to-order items are processed immediately and may be charged at the time of order.

5. SHIPPING & RISK OF LOSS

  • Title and risk of loss for products pass to you upon delivery to the carrier.
  • We may ship orders in one or more shipments, unless otherwise agreed.

6. USER-SUBMITTED CONTENT

  • Definitions: “User Content” means any photos, designs, text, or other materials you upload to the Site.
  • License Grant: You retain ownership of your User Content, but grant Skinnyfish Creative LLC a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, distribute, display, and create derivative works of your User Content in connection with providing products or services.
  • Warranties: You represent and warrant that you own or have all necessary rights to your User Content, and that its use will not infringe any third-party rights. You agree to obtain releases from any identifiable individuals in your User Content.
  • Removal Rights: We may remove or refuse any User Content at our discretion, without liability.

7. INTELLECTUAL PROPERTY

12. DMCA NOTIFICATION PROCEDURE

If you believe your copyright has been infringed, send a notice containing the following to our Designated Agent:

  1. Physical or electronic signature of the copyright owner or authorized agent.
  2. Identification of the copyrighted work claimed to be infringed.
  3. Identification and location of the infringing material.
  4. Your contact information.
  5. A statement of good-faith belief that use is unauthorized.
  6. A statement under penalty of perjury that the information is accurate.

  • These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
  • Any dispute arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in Cache County, Utah. You and Skinnyfish Creative LLC each submit to the jurisdiction of those courts.

  • Severability: If any provision is invalid, the remainder shall remain in full force.
  • Waiver: Our failure to enforce any right shall not waive that right.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Skinnyfish Creative LLC with respect to the Site and services.

16. CUSTOM DESIGN SERVICES

We may offer you the opportunity to engage with our designers (“Custom Design Services”) to create a custom design for a specific product (“Custom Designed Product”). By using the Custom Design Services, you agree to the following:

  • Your Materials: You are solely responsible for the materials you submit for Custom Design Services and warrant that you own or have all necessary rights in those materials.
  • License to Us: You grant Skinnyfish Creative LLC a fully paid, worldwide, non-exclusive, royalty-free license to use your copyrights, logos, trademarks, and artistic designs contained in the submitted materials solely for the purpose of providing the Custom Design Services and producing the Custom Designed Product.
  • Ownership of Final Design: You retain all right, title, and interest in the final Custom Design and Custom Designed Product, including all copyrights and other intellectual property rights.
  • Modifications & Fees: If you request changes to the Custom Design or Custom Designed Product after delivery, additional fees may apply and our customer service representatives can assist you.
